Family wealth grows and compounds over time. At any point in the wealth journey, different levels of structure and complexity are required. In the early stages, it would be wasteful to size up governance all the way to a full-service family office. But at a certain level, the wealth enterprise requires that level of management. The evolution is a natural one. Across generations, a family may accumulate multiple trusts, beneficiaries, investment strategies, business interests, real estate, charitable interests, and family governance concerns. As this complexity grows, the Private Family Trust Company may be a solution to keeping the trust focused on its mission.

A Private Family Trust Company (PFTC) is a trust company that is established to provide fiduciary services for a family rather than the general public. It is not an entity that manages the affairs of multiple families, but instead focuses solely on itself as the single client. Instead of appointing an institutional trustee, the family trust company fills that fiduciary role. It can create an enduring governance structure around the family’s trusts and can be staffed with family members and outside professionals. Because it does not offer fiduciary services to the general public, its regulatory structure differs from that of a public trust company. It is nevertheless a formal fiduciary institution that must operate within the legal and regulatory framework governing South Dakota trust companies.

Families looking to manage complex wealth face a set of obstacles to continuing that wealth. Apart from just the growing number of beneficiaries and the divergence of opinion that occurs in any large group, the trust is established for a purpose. Ensuring that it continues to operate and serve in a manner consistent with that purpose and the grantor’s planning intent requires focused attention. A private family trust company allows for that attention to become institutional rather than dependent upon any one person.

That distinction becomes increasingly important over long periods of time. Individual trustees age, die, become incapacitated, or eventually step away from their responsibilities. Professional trustees solve part of that problem by providing institutional continuity, but they necessarily administer trusts within their own systems and processes. A PFTC allows the family to build the institution around the trusts themselves. The company can continue even as the people participating in it change, creating a structure through which knowledge, responsibility, and family involvement can pass from one generation to another.

It also creates positions and roles for different kinds of expertise to participate in the administration of family wealth. Family members may bring knowledge of the family, its history, businesses, and priorities, while attorneys, accountants, investment professionals, and other advisors bring specialized expertise. Those roles can be formalized through the governance of the PFTC rather than depending upon informal relationships that may become difficult to maintain as the family grows.

This can be especially important when the family owns assets that require more than conventional portfolio management. Closely held businesses, significant real estate holdings, concentrated investments, family partnerships, and other complex assets have their own histories, rationales, risks, and strategic considerations. A family that has spent decades building an operating business, for example, may reasonably want a fiduciary structure capable of understanding that business rather than treating it simply as another asset held by a trust.

South Dakota provides an attractive environment for families considering this type of structure because the PFTC can exist within a much broader framework for long-term trust administration. South Dakota expressly recognizes private trust companies and has developed a mature regulatory and professional infrastructure around trust administration. The same structure can operate alongside dynasty trusts, directed trusts, trust protectors, investment and distribution advisors, and other tools that allow responsibilities to be divided among the people and institutions best suited to exercise them.

A PFTC is not the natural next step for every successful family. Creating a trust company introduces meaningful governance, regulatory, administrative, and financial obligations of its own. South Dakota-chartered trust companies are supervised by the South Dakota Division of Banking and must satisfy applicable requirements governing their formation and continuing operation. For many families, an independent trustee, rather than an institutional one, will remain the more practical and efficient solution.

As family wealth becomes sufficiently large, diverse, and multigenerational, efficiency is no longer the only consideration. The family is managing an enterprise that is expected to survive the people who created it and keep growing. At that point, the question is not simply who should serve as trustee today. It is what structure can formalize continuity, incorporate professional expertise, involve future generations, and keep the family’s trusts focused on the purposes for which they were created. For some families, the answer may be to build an institution of their own.
